Terms of service

This page is the agreement between you and Syllevo. It is written to be read, not skimmed and regretted. If anything here is unclear, ask us before you subscribe.
Who we are
Syllevo is operated by Businice S.R.L., registered at [REGISTERED ADDRESS TBC], company registration number 47561697, VAT number [VAT NUMBER TBC]. In these terms, "Syllevo", "we", and "us" mean that company, and "you" means the organization that creates an account and the people it lets in.

What Syllevo is, and what it is not
Syllevo collects invoices. It gathers your documents, or your clients' documents, from connected sources such as email inboxes, supplier portals, e-Factura, and cloud storage, chases what is missing, and keeps everything in one place with a full history.
Syllevo does not issue invoices, and it does not replace your accounting software. It sits before tools like Saga, SmartBill, Xero, or QuickBooks, and exports cleanly to them. Where it transmits something for you, such as an e-Factura submission, it formats and sends what you asked it to send, nothing more. Nothing in these terms is bookkeeping, tax, or legal advice.
Your account
You need an account and an organization to use Syllevo. Keep your sign-in credentials to yourself, tell us if you think someone else has them, and make sure what you tell us about your organization is accurate.
Every package includes unlimited team members at no extra cost. You decide who joins your organization and what they can see, and you are responsible for what they do in it.
Plans, profiles, and billing
Syllevo is paid from day one. There is no free trial and no free tier; the 40-day guarantee below is how you try it without risk.
You pay per profile: one client company for an accounting firm, or one owned company for a business. You buy a package sized to how many profiles you have, and the package price is a minimum: it covers its included profiles whether or not they were busy that month. A profile covers unlimited connected sources: every inbox, the e-Factura connection, and every supplier portal login on that company cost nothing extra.
Profiles beyond your package cost the same per profile as the ones inside it. There is no penalty rate. An extra profile is billed in a period only if it was active, meaning it had at least one collected document or one reminder sent. On an annual subscription, extra profiles are charged at the annual per-profile rate, still monthly, and still only when active.
Annual billing is ten months' price for twelve months of service. Prices are shown and charged in EUR everywhere. If you pay with a card in another currency, such as RON, your bank may apply its own conversion rate and fees; that part is between you and your bank.
Before you subscribe
A new organization has full access for 24 hours from the moment it is created. That window exists so that paying and getting started never trips over payment processing. It is not a trial.
If the organization still has no subscription after those 24 hours, access is paused and collection stops. Nothing is deleted or hidden: you can subscribe and pick up where you left off, and you can export everything the organization holds at any time.
The 40-day guarantee
Every subscription comes with a 40-day money-back guarantee, no questions asked. 40 days covers at least one full month-end from any start date, so you see a complete month before the window closes.
The refund is a button in your billing settings. One optional question, which you can skip, and nothing else between the button and the confirmation. The confirmation tells you when the money lands and links to your data export. Email works too, if you prefer it.
The guarantee applies to annual subscriptions in full: inside 40 days, you get the whole year back. After 40 days, an annual term runs to its end, and there is no partial refund for cancelling mid-term. We say this here and again at checkout, so it never arrives as a surprise on either side.
After a refund, your data is still yours. Export stays open, and your documents stay readable for a retention window before deletion.
If a payment fails, or you cancel
If a card payment fails, we retry, and there is a grace period during which everything keeps working exactly as before. A card that expired on the 3rd is not a reason to miss a month-end.
If the grace period runs out, or you cancel, collection and chasing pause, with clear notice. Nothing is deleted, hidden, or held hostage: everything already collected stays readable, and you can export every original document and all structured data whenever you want. Subscribing again turns collection back on.
Changes to prices and to these terms
If a price changes, you get at least 90 days' notice, said plainly. You keep your current price to the end of your current term, and annual subscribers keep it for the full year already paid. We never silently reprice.
If these terms change in a way that matters, we tell you before the change takes effect, in plain language, with what changed and when. Continuing to use Syllevo after that date means you accept the new terms.
Fair use
We do not count your documents, your reminders, your users, or your storage against you, and we never refuse to collect a document because of a usage number. Each package carries generous monthly allowances for the two operations that cost us real money: e-Factura submissions and extraction of foreign documents. We record usage against them, and if yours sits far outside normal use, we talk to you rather than cut anything off.
Each profile also has a high technical cap on how many accounts of one kind it can connect, such as inbox addresses or portal logins. The caps are the same on every package, sit far above heavy real use, and exist to stop runaway scripts, not customers. Hitting one is a conversation with us, and we can raise it. It is never a reason to buy a bigger package, because a bigger package does not change it.
Your documents and your data
Your documents are yours. You can export every original file and all structured data at any time, on any package, during a grace period, after a refund, and at cancellation. This is not a feature we sell. It is a condition of the rest of this agreement.
Once a document arrives, nothing can silently overwrite or lose it: originals are stored immutably, and the actions that matter, such as exports, permission changes, and downloads, land in an audit trail.

Referrals
Syllevo has a referral program. If you sign up through someone's referral link, you get 15% of one month off your first subscription invoice, once per organization, ever. The person who referred you earns a commission on your invoices: 30% of the first one, then 15% of the later ones, for as long as the subscription lasts. Commissions are calculated on the amount actually paid, excluding tax and excluding extra-profile invoices, and they become payable 40 days after the invoice, so a refunded subscription never pays a commission.
Referring yourself earns nothing, and a firm inviting its own client companies is the product working, not a referral.
Acceptable use
Use Syllevo for what it is for: collecting and managing invoices and related documents for organizations you are entitled to act for. Connect only sources you are authorized to connect, and send reminders only to people you have a real business relationship with.
Do not try to break, probe, or overload the service, resell access without an agreement with us, or use it for anything unlawful. If something you do puts other customers or the service at risk, we can suspend that activity while we sort it out with you, and we will tell you what happened and what to do.
What we promise, and what we do not
We work hard to keep Syllevo available and reliable. But these terms do not promise a specific uptime level or a support response time. What we do promise is what this page says: honest billing, the 40-day guarantee, and your unconditional right to take your data with you.
Liability
We are responsible for doing what these terms say. We are not responsible for failures of things we do not control, such as ANAF or another authority being unreachable, a supplier portal changing, your bank's currency conversion, or your accounting software. When a source is down, we retry and tell you rather than fail silently.
To the extent the law allows, our total liability to you for claims connected to Syllevo is limited to the amount you paid us in the 12 months before the event that caused the claim. Nothing in these terms limits liability that the law does not allow to be limited.
Who owns what
You own your documents and your data. We own the Syllevo software, this site, and the brand. Your subscription is the right to use the service while these terms hold; it does not transfer any software to you.
Governing law
These terms are governed by the law of [GOVERNING JURISDICTION TBC], and disputes go to the courts of [COURT VENUE TBC], unless a law that protects you says otherwise.
